What is the nonprofit name?

Is the nonprofit name registered with the county as a “fictitious business name”?

Identify your position in the nonprofit.

Identify all other board members and officer(s) of the nonprofit, including their corresponding position.

E.g. "John Doe – Chairman and CEO, Jane Doe – Secretary and Treasurer".

Do any board members or officers receive compensation?

If so, identify which directors and/or officers receive compensation and the corresponding amounts.

E.g. "John Doe – Director and CFO - $56,000 per year".

Describe the general purpose and activities of the nonprofit and/or the types of goods and services that are provided.

Who or what business is listed as your registered agent?

If unsure, type "Not Sure".

Does the nonprofit have its federal tax-exempt status yet?

If yes, please email a copy of the nonprofit’s IRS Determination Letter to Sharmila Parkman at srp@parkmanfirm.com.

Under which tax code section does the nonprofit have or will have its tax-exempt status?

I.e. 501(c)(3), 501(c)(6), etc.

What is the nonprofit’s current charitable purpose?

This is listed in the Bylaws and the Articles of Incorporation

Does the nonprofit, in any way, attempt to influence legislation and/or participate in lobbying?

Identify how the nonprofit generates revenue.

E.g. mostly public donations, mostly private donations, suggested service fees, grants, etc.

If the nonprofit receives or will receive grants, identify the nonprofit’s current or planned process for administration of funds.

Identify the current and/or projected annual revenue of the nonprofit.

Identify all insurance policies the nonprofit has, if any.

E.g. workers’ compensation insurance, general liability insurance, etc.

Does the nonprofit have a seller’s permit?

Does the nonprofit use a resale certificate?

Has the nonprofit been filing its Statement of Information (SOI) biannually?

Does the nonprofit have Bylaws?

If the nonprofit has Bylaws, do they have policies regarding conflicts of interest and executive compensation?

Identify all amendments to the nonprofit’s Articles of Incorporation, Bylaws, or any other formation documents since incorporation.

Is the Board of Directors at least 50% disinterested?

Disinterested means directors are not closely related, such as father and son, and are not engaged in certain current or prior business relationships.

Identify all board members and/or officers that may not be disinterested and explain the potential conflict.

Does the nonprofit have at least annual board of director’s meetings with properly recorded meeting minutes?

Identify the usual date and location of board meetings.

Is the nonprofit currently working with a CPA and/or bookkeeper to help with its taxes?

Does the nonprofit have an EIN (Employer Identification Number)?

Does the nonprofit have any employees?

If the nonprofit has employees, how many?

Identify the employees’ names and corresponding positions.

Identify the nonprofit’s hiring process. (I.e. Does it have employment applications? Are interviews standardized or ad hoc? Etc.).

If the nonprofit does plan on hiring, how many and for what positions?

Does the nonprofit plan on laying off or terminating any employees soon?

If the nonprofit does plan on laying off or terminating, identify the employee(s)’ name, their position, and the reason for laying off or termination?

Does the nonprofit have any independent contractors?

If the nonprofit does have independent contractors, how many?

What types of independent contractors does the nonprofit have?

Identify all the human resource paperwork the nonprofit has in place for employees and/or independent contractors. (E.g. contracts, employee handbook, etc.).

Identify whether the nonprofit has a logo or catch phrase that it wants to protect or that is already protected by copyright or trademark.

Identify all contracts and/or invoicing documents the nonprofit uses for clients or patrons, if any.
