What is the corporation name?

Is the corporation name registered with the county as a “fictitious business name”?

Identify your position in the corporation.

Identify all other board members and officer(s) of the corporation, including their corresponding position(s).

E.g. "John Doe – Chairman and CEO, Jane Doe – Secretary and Treasurer".

Describe the general purpose and activities of the corporation and/or the types of goods and services that are provided.

Who or what business is listed as your registered agent?

If unsure, type "Not Sure".

Identify all insurance policies the corporation has, if any.

E.g. workers’ compensation insurance, general liability insurance, etc.

Does the corporation have a county business license?

Does the corporation have a seller’s permit?

Does the corporation use a resale certificate?

Has the corporation been filing its Statement of Information (SOI) biannually?

Does the corporation have Bylaws?

Identify all amendments to the corporation’s Articles of Incorporation, Bylaws, or any other formation documents since incorporation.

Does the corporation have at least annual board of director’s meetings with properly recorded meeting minutes?

Identify the usual date and location of board meetings.

Does the corporation have at least annual shareholder meetings with properly recorded meeting minutes?

Identify the usual date and location of shareholder meetings.

If different than the board meetings. If not, type "Same as board meetings".

Does the corporation have a Shareholders or Stock Agreement in place?

Identify the interest/share profit split for the corporation.

E.g. "John Doe has 51% and Jane Doe has 49%".

Has anyone contributed money to the corporation by either a loan, investment, or a donation/gift?

If the corporation has received contributions, explain them briefly.

Is the corporation currently working with a CPA and/or bookkeeper to help with its taxes?

Does the corporation have an EIN (Employer Identification Number)?

Does the corporation have any employees?

If the corporation has employees, how many?

Identify the employees’ names and corresponding positions.

Identify the corporation’s hiring process. (I.e. Does it have employment applications? Are interviews standardized or ad hoc? Etc.)

If the corporation does plan on hiring, how many and for what positions?

Does the corporation plan on laying off or terminating any employees soon?

If the corporation does plan on laying off or terminating, identify the employee(s)’ name, their position, and the reason for laying off or termination?

Does the corporation have any independent contractors?

If the corporation does have independent contractors, how many?

What types of independent contractors does the corporation have?

Identify all the human resource paperwork the corporation has in place for employees and/or independent contractors. (E.g. contracts, employee handbook, etc.).

Identify whether the corporation has a logo or catch phrase that it wants to protect or that is already protected by copyright or trademark.

Identify all contracts and/or invoicing documents the corporation uses for clients or patrons, if any.
