What is the proposed corporate name?

Have you done a cursory search to see if your proposed corporate name is available?

(E.g. if you decide to call your corporation “ABC Enterprises, Inc.”, but you also want to be able to be called “ABC, Inc.”, then select “Yes”).

Describe the general purpose and activities of the corporation and/or the types of goods and services that will be provided.

(A registered agent receives all important documents, including legal paperwork if you are sued).

Identify all insurance policies the corporation will have.

(E.g. workers’ compensation insurance, general liability insurance, etc.).

Do you intend for the corporation have a county business license?

Do you intend for the corporation have a seller’s permit?

Do you intend for the corporation use a resale certificate?

Who will the initial shareholders be?

Do any of the initial shareholders live outside the United States?

For initial, individual shareholders, please provide: the full name, date of birth, marital status, intended percentage ownership in the corporation, driver’s license number and state, address, and phone number.

For initial, business shareholders, please provide: the business name, EIN, address, and contact person for the business, including name, phone number, and email address.

Will any of the shareholders receive a salary or other form of payment?

Identify the names of all who will be on the Board of Directors.

Identify the names and titles of all initial officers of the corporation.

(There are three required officer positions: (1) CEO/President, (2) CFO/Treasurer, and (3) Secretary).

Identify the intended, usual date and location of board meetings.

Identify the intended, usual date and location of shareholder meetings.

If a shareholder wants to leave the corporation, would you like the remaining shareholders to have the opportunity to purchase back that shareholder’s shares before anyone else can?

(This is called the “right of first refusal” and helps minimize risk of an outside shareholder coming into play).

Do you intend to have anyone contribute money to the corporation by either a loan, investment, or a donation/gift?

If so, explain them briefly (if known).

Do you intend for the corporation to work with a CPA and/or bookkeeper to help with its taxes?

Do you intend for the corporation to have an EIN (Employer Identification Number)?

Do you intend for the corporation to have any employees?

If you intend for the corporation to have employees, how many?

When do you plan on hiring employees?

Do you intend for the corporation to have any independent contractors?

If you intend for the corporation to have independent contractors, how many?

When do you plan on hiring independent contractors?

Identify whether you intend for the corporation to have a logo or catch phrase that you may want to protect by copyright or trademark.

Identify all contracts and/or invoicing documents the corporation intends to use for clients or patrons, if any.
